Bylaw 5: Provide More Time for Notice of Member Meeting & Nominating Committee Appointments

Notice of Member Meetings:  DCEC bylaws currently state that the Cooperative must provide members notice of member (e.g. annual) meetings within the window of 10-25 days prior to the meeting. While it is important that members are given adequate advanced notice of such meetings, the current window is very restrictive in mailing out the Catskill Hi-Line (DCEC's newsletter) which serves as the official notice of such meetings. The proposed bylaw change would require notice to members between 30-60 days prior to such meetings. Not only would this allow DCEC staff to better provide advance meeting information to members (e.g. director candidates biographies), it would also provide members more advanced notice of the meetings.

Nominating Committee:  DCEC bylaws currently state that the DCEC board must appoint a Nominating Committee within 30-90 days of a member meeting for the purpose of researching, evaluating and identifying candidates to serve on the DCEC Board as directors. Further, the bylaws currently require the Committee to identify candidates at least 20 days prior to the meeting. To provide adequate time for the Nominating Committee to perform their work and for the DCEC staff to prepare candidate biographies that are included in Meeting Notices, the bylaws are proposed to be changed to require the Board to appoint the Nominating Committee between 90-150 days prior to the Annual Meeting, and for the Committee to identify the list of candidates at least 45 days prior to the meeting.
