Bylaw 4: Strengthen Requirements for Director Qualifications
DCEC bylaws identify the requirements for being able to serve as a director on the DCEC Board. The current requirements state that a member must be a bona fide resident in the area served by the Cooperative and that they not have a conflict of interest with cooperative interests.
To strengthen governance practices of the Cooperative, the Board proposes to increase the eligiblity qualifications for those members serving as directors. The Board proposes additional qualifications for directors including: 1) they cannot be a close relative of another director or employee of the Cooperative, 2) cannot be a member who has been an employee of the Cooperative within 24 months, 3) must not have been convicted of a felony crime, and 4) must not have been overdue on amounts owed to the Cooperative.
